Dear All

We have now completed the transition of Hubbell Citibank Travel & Procurement Card holders to Current’s Bank of America cards and provided access to Current’s version of Concur for travel booking and expense submissions to those card holders. If you were not a Hubbell Citibank card holder or were not provided with one, you will continue to use Hubbell’s version of Concur for travel and cash expenses until the payroll transition in June or July. We have also updated the existing Current card holder population to standardize credit limits and align card holders to the new eligibility criteria in the T&L Policy.

A few reminders and FAQs –

  1. Familiarize yourself with the T&L or P-Card policy requirements and particularly allowable expenses.
  2. You can access Current’s version of Concur at travel.gecurrent.com. However, for former Hubbell employees, you will need to login at www.concur.com until the payroll transition is completed. Use the Login link on the top right of the home page to enter your Hubbell email and password.
  3. You should submit expenses at least monthly and no later than 60 days after being incurred. Each report incurs a cost so aggregate expenses before submitting them.
  4. All requests for cards and credit limit changes must be submitted here. Check the T&L and P-Card policies to confirm your eligibility. The travel administrator will confirm approval for your request with your manager and/or executive leadership team.
  5. Register at the Bank of America portal and you can check your credit limit and available credit. Your available credit is dependent on the monthly billing and payment cycle, not your unsubmitted expenses in Concur.
  6. All cards are registered to the Beachwood office address: 25825 Science Park Drive, Beachwood, OH 44122. Remember this if you are asked for your zip code for security.
  7. Global travel Insurance is currently provided by AIG. Please see the flyer for details of how to claim.
  8. In the US, decline all car rental insurance. Outside the US, accept the basic insurance and decline excess insurance on any car rentals. Cross-border travel, i.e. US to Mexico, Canada to US, with rentals is not permitted as they are not insured. Report any theft or accidents to the Travel Admin and HR to facilitate making any insurance claims.

Team,

52 days in and counting! I am immensely impressed with the volume of conversations and learning that has occurred these past weeks. We are continuing to evolve our thinking as we learn how our companies have run independently in the past; and our learnings are vast. Teams continue to discuss how to best approach customers and agents, execute initiatives and craft competitive actions to win in the marketplace.

As you know, we are building our organizational design and identifying where departments and processes best reside. Pointedly, we know that understanding which organization you are a part of, who you report to, and your own set of responsibilities/goals are critically important. We are a “work-in-progress”, with some fine tuning to structures, scope and responsibilities that will be worked through in the next 60 days.

We thank everyone for their patience and exuberance through this process. I hope you are having fun meeting new team members, working to identify and implement process improvements, operational enhancements, and operating at an expanded scale.

Last month we initiated the first stages of our organizational design where we looked across both teams to identify ‘like’ leadership roles. We implemented a comprehensive process to help identify candidates for roles directly reporting to a member of the Executive Team and in many cases, further into the organization. To help inform decisions, the hiring teams reviewed work history and capabilities, previous performance, available succession or talent review data, and personal interviews.

We thank everyone for their patience and exuberance through this process. We now move into the fun work of identifying and implementing process improvements, operational enhancements, and operating at an expanded scale.

Over the next several months, some of the teams within Hubbell and Current will continue to operate independently on different platforms, products, and channels, but we anticipate functions will combine relatively quickly once we are on a common Enterprise Resource Planning system (S4) this summer.

We are four weeks into our integration and wanted to provide a February update, reinforce our Key Commercial Message, and provide some Q&As to help address some questions we have received since closing.

February Update:
As announced in early February the business units at the core of the company will be led by three of our Executive team members. Tom Benton, VP & GM of Luminaires, (which was recently renamed from Fixtures), including oversight of Forum and Latin America. Chris Anderson and Pablo Blancas will report directly to Tom. Jason Sherrill, VP & GM of Controls and Software, including NX and Daintree platforms, and Dan Phalen, VP & GM of Growth Markets, including Lamps, Roadways, Signage and Horticulture.

In addition to the changes above, many leadership roles will be announced mid-March. Staffing for all other roles will continue through the next 3-9 months as we still have two distinct businesses to run on separate platforms, processes, and tools. Please continue to monitor new opportunities that are posted and updated on our career site located at https://my.gecurrent.com/career-center; speak with your manager and apply if interested.

The integration team has been busy preparing exit plans for the 52 Transition Service Agreements (TSAs) shared with Hubbell Corporate. TSAs are services that we pay for from Hubbell Corporate for a defined period. This week the Steering Committee will review our plan to exit five TSAs, including finance, treasury, health and safety, and customs support, earlier than the anticipated timeline. The number of early exits will continue to grow as the team completes their future-state planning. The exit of the TSAs allows us to be independent of Hubbell Corporate and move to the next stage of integration planning that builds the future-state solution for the company.

Key Commercial Message:
Are you being asked questions about our acquisition and what it means for your customers? We encourage you to share the following message.

We are very excited about the integration. The merger gives us an unmatched breadth and depth of products, solutions and expertise that will yield greater innovation and service for our diverse customer, distribution, and brand specific agent networks now, and into the future.

Now that the deal has closed, the teams are actively coming together and building plans to drive synergies in our products and processes so we can begin realizing incremental value for our customers. As those synergies happen, we are committed to keeping you informed but for now, there will be no significant changes on how we transact or in the communication of our brands and solutions in the market.

Questions & Answers:

Q: How will the acquisition impact customers and suppliers?
A: Their contact person and how they transact will not change and they should expect the same level of service they have always experienced.

The one exception is the legal entity Hubbell C&I Lighting customers and vendors transact with, will be changing to HLI Solutions, Inc. Tax IDs and bank accounts remain unchanged, and we will continue to do business as (dba) Hubbell Lighting at this time. HLI Solutions, Inc. is only a legal entity name and it is not our company name that will be used in the market, that will be “Current” and the switch to that new name is covered below.

For Vendors: Purchase orders previously issued by Hubbell Lighting, Inc. remain valid but future purchase orders will be issued by HLI Solutions, Inc and any new invoices should be issued to HLI Solutions, Inc.

For Customers/Channel Partners: Purchase orders previously issued to Hubbell Lighting, Inc. remain valid but future purchase orders should be issued to HLI Solutions, Inc. and any new invoices will be issued by HLI Solutions, Inc.

Q: How is this going to impact our Agent Network strategy?
A: We will maintain agent networks in each market for our defined businesses and brands. They will continue to transact with us as before and their point of contact will not change at this time.

Q: What are the plans for Hubbell Lighting’s C&I brands? Will Hubbell Lighting retain its name?
A: While there will be no immediate change, the Hubbell Lighting umbrella brand as well as the Hubbell Outdoor Lighting and Hubbell Control solutions brands will transition to new platforms over time. The strong portfolio of the company’s other brands including Columbia Lighting, Prescolite, Dual-Lite, Kim, Architectural Area Lighting and Beacon Products will remain. We will provide additional updates as they become available.

Q: When will both business’s move to the new Current name?
A: To avoid confusion we will continue to use both business names in the market (GE Current, a Daintree company and Hubbell C&I Lighting) and make no changes to the branding. Later in the year we will unveil the new Current branding and identity. Internally first and then into the market (before or at LightFair 2022).

Q: Have we changed our external branding at all given our new Current name?
A: No, all GE Current, a Daintree company and Hubbell C&I Lighting brand guidelines remain intact. The only exception is we have decided to update our email signature guidelines to include a tease of our new company name in the bottom image / logo. Like this:

Q: When will we begin doing tradeshows as one company?
A: At LEDucation, March 15-16 in NYC, we will have multiple booths for our various brands including Forum, Kim Lighting, Litecontrol , Prescolite, and Tri-Gain. Our first joint booth and unveiling of the new Current branding will be at LightFair this year, June 20-22 in Las Vegas. A team is being created from both businesses to develop the booth design and complete event plans.

Q: When can I order new business cards and other collateral with the Current branding?
A: Do not order new business cards to avoid unnecessary costs as they will quickly be non-brand compliant and unusable. Requests for other printed collateral should also be minimized to only a quantity necessary until rebranding is complete. The plan is to launch the new Current Brand guidelines including business cards design, letterhead, PowerPoint templates, email signatures, etc. prior to the external launch at LightFair 2022.

Q: When will we combine the Hubbell C&I Lighting and GE Current, a Daintree company websites?
A: We need our backend systems to come together for this to happen and we are targeting shortly after the July 4th holiday for our new combined Current website launch. The domain will become www.CurrentLighting.com and we will continue to use the vanity domain of www.led.com as well.

Q: What about email addresses, will we change away from hubbell.com and gecurrent.com?
A: Email addresses will change in the future. Be on the lookout for information soon.

Q: What should I use as my greeting on my work phone?
A: For now, you should stay with “Hi, you have reached ‘your name’ with” then either “GE Current, a Daintree company” or “Hubbell Commercial and Industrial Lighting” and then close with something like … “I’m currently unable to answer your call but please leave me a message and I will return your call as soon as possible. Thank you!”

Q. When will both businesses combine our Social Media handles?
A: The plan is to consolidate our various businesses Social Media handles (GEC, HLI and Forum) to new Current branded handles, for each of our social media channels (LinkedIn, Facebook, Instagram, YouTube, Reddit, and Twitter). We will make the switch at the same time we launch the new Current branding, around LightFair – June 20, 2022.

Q. Should we do anything different on our Social Media handles as an employee? Like changing the name of the company I work for or changing my background image?
A: No, you should maintain your existing presence and keep your employer as either Hubbell Lighting or GE Current, a Daintree company and follow the guidelines and tools you have been given. For GEC employees you can find those on our Intranet site here. Once our new Current branding is ready, we will provide employees with recommendations on how to best update your profiles and help improve our presence and brands in the market.

Q. When will we be able to use tools such as Connect and AMP (BrandMuscle) for the combined business?
A: Customer facing Tools such as Connect and AMP (BrandMuscle) utilize data from our source systems like SAP. Until the business integrates all of our data into one platform, and we can transact as one company, these tools will remain separate.

Q. Customer Training?
A: Customer training will remain separate until after LightFair. This will set the tone and maintain our multi-channel approach to the market.

February 16, 2022 | Organizational Design Update

Exactly 16 days ago, we announced the merger of Current and Hubbell’s C&I Lighting Division. Over the last few weeks, our teams have spent time learning about each other's products, manufacturing and distribution systems, sales strategy, and the great people who make it all happen.

Today, we are initiating the first stage of our organizational design where we look across both teams to identify ‘like’ leadership roles. Over the next several months, some of the teams within Hubbell and Current will continue to operate independently on different platforms, products, and channels, but we anticipate functions will combine relatively quickly once we are on a common Enterprise Resource Planning system (S4) this summer.

To help us build our future-state organization, which will include identifying and implementing process improvements, operational enhancements, and operating at an expanded scale - we anticipate announcing by mid-March both the new leadership roles and people reporting directly to the Executive Leadership Team.

We have designed a comprehensive process to help identify the successful talent for the new leadership roles. All candidates for a role directly reporting to a member of the Executive Team will complete an assessment and selection process initiated by the HR Team. The process will involve a review of one’s work history and capabilities, previous performance, available succession or talent review data, and a personal interview with the hiring manager and the appropriate HR People Partner.

We understand that some candidates for these new and expanded leadership roles will be existing employees who hold similar, but reduced scale roles in either Current or Hubbell. Accordingly, only these existing employees will be invited first to express interest, thereby initially limiting visibility to these roles to those in that population who might be interested. In circumstances where there is no existing employee candidate for a new leadership role, we will post the position externally and all interested are welcome to apply for consideration.. Remember, these expanded leadership roles do not constitute an exhaustive list of all available roles within the organization, simply those that directly report to a member of the Executive Leadership Team.

Impacts to IT-Related Systems

In preparing for the integration with the C&I Lighting business of Hubbell Incorporated, we wanted to take the opportunity to address Day 1 impacts as it relates to IT-related systems. As we transition further into the integration process, additional information will be provided if changes and actions are required. In the meantime, here is an overview addressing some of the most commonly asked IT-related questions.

What to be prepared for on Day 1 of integration?

GE Current, a Daintree company Employees

Upon closing the proposed sale, there will be no immediate changes to any of the following:

  • Your SSO
  • Your email address
  • Your credit cards & associated processes (T&L, Pcards, etc.)
  • Access to the GE Current Systems

We recently announced our intent to acquire the C&I Lighting business of Hubbell Incorporated. Our announcement has been viewed favorably by our customers and industry partners who look forward to a basket of complementary products and an expanded agency footprint in the market.

The combined company clearly provides portfolio depth that allows us to better serve and expand our existing customers with more complete solutions. The diversification of agencies allows a significant increase in the number of selling opportunities across all verticals including commercial, industrial, specification, utility, municipality, and specialty markets. The (13) additional brands, along with the (60+) agencies, provides market coverage and scale that we did not have as a stand-alone business.

We have established a cross-functional team focusing on separation, transition, and the exit of service agreements. Many of you have been part of the planning for a Day 1 transition, aiding in resolving separation and entanglement issues with (13) major workstreams, and the establishment of (45) Transfer Service Agreements with Hubbell’s Separation Management Office. These critical efforts will continue to accelerate now that we are nearing close. We will continue to focus on exiting the service agreements to an integrated desired future state with our new combined organization.

The IT team has been busy planning the carve out of core IT platforms in anticipation for Day 1. The combined organization provides a unique opportunity to modernize our platforms and streamline our application portfolio while shedding system and process complexity.

The dialogue from the workstream efforts has generated many Day 2 opportunities for the combined company. Opportunities such as leveraging our new scale with component and logistics suppliers, synergies in new product development and investment, strategic blueprinting regarding manufacturing, and greater commercial opportunities as it relates to Buy American and cost competitiveness in public bids are all examples of future synergies. The team is very eager to close on the sale so that we can begin this greater level of integration planning.

I wanted to thank you for your efforts on the integration along with the work that you are doing regarding the management of the daily business. The help that you provided throughout the busy holiday season and the start of the new year, positioned the company for an on-time close. We have received US regulatory approval and are waiting for confirmation on Mexico regulatory approval with an expected close date of late January or early February 2022.

We recently announced our intent to acquire the C&I Lighting business of Hubbell Incorporated. This is a major step in firmly establishing ourselves as a full-line manufacturer in the Lighting industry. We are pleased to announce that Teresa Bair has accepted a full-time role as the Director, Acquisition Integration, reporting to John Irvine, CFO. In Teresa’s role, she will provide management of the overall execution of the integration plan for an on-time Day 1 transition. Teresa will focus on identifying and cultivating process improvements and she will work with the respective workstream leaders to track critical milestones, implement plan modifications and drive resolution. We are in the process of creating cross-functional teams who will focus on integration. Teresa has been with the organization for 8 years, most recently leading our Ease of Doing Business initiative. She previously worked in the Product Management organization focused on our roadway and outdoor business, joining GE in 2013.

Note that the transaction is expected to close in 1Q 2022, and until such time all contact between the parties is completely prohibited unless specifically approved by our General Counsel, Inger Eckert. In the meantime, please continue doing the same great work you do today. We will keep you posted on updates as we near critical milestones.

I am pleased to announce that GE Current, a Daintree company has officially entered into an agreement to acquire the C&I Lighting business of Hubbell Incorporated. This is a major step in firmly establishing ourselves as a full-line manufacturer in the Lighting industry. This is consistent with our Operating Agenda and conversations related to organic and inorganic driven growth.

The public statement detailing the transaction is here for your review. I, and the leadership team, look forward to adding more color, and answering your questions at an all-hands meeting at 10 AM EST, Tuesday. Note that the transaction is expected to close in 1Q 2022, and until such time all contact between the parties is completely prohibited unless specifically approved by the General Counsel, Inger Eckert. In the coming days, joint teams will be established under legal guidance to define plans and the next steps. In the meantime, please continue doing the same great work you do today.

As we work towards the transaction close, I would like to take a minute to recognize the efforts by the entire Current team through the pandemic that have made us a stronger company today and allowed us to take this important next step.
